| Vendor Quality System and
Production Process |
Sintel expects the Vendor Quality
System and Production process to be capable of producing products to the
print and specifications cross referenced on the purchase order.

| Random Inspections |
Sintel does random incoming
inspection checks to insure compliance to prints and specifications.

| Non Conforming Parts |
Parts found to be non conforming
will be rejected.

Are subject to a cost recovery
fee of $100.00 plus an inspection fee of $75.00 per hour (Min Charge of
1 Hour)

Additional cost may
be charged depending on where the part is in the production process when
the defect is discovered.

Sintel reserves the right to
rework the parts and charge the vendor for the cost of the rework.
If we determine that rework is necessary to meet customers shipment
requirements.

Rejected parts must be picked up by the
vendor within 48 hours of written notification or Sintel, at it's option, will
scrap or return the parts freight collect.

| |
Because of space
constraints, parts can no longer be reworked at Sintel.
